Terms of Service

1. Acceptance of terms

By accessing or using the Alpha Controls website (alphacontrols.io) or the govnr.ai platform (collectively, the “Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.

These terms constitute a legally binding agreement between you and Alpha Controls Ltd (“we”, “us”, “our”), a company registered in England and Wales with its principal place of business in Gravesend, Kent, United Kingdom.

2. Service description

The govnr.ai platform is a BMS contractor management platform that provides:

  • Workforce management and operative profile administration
  • Shift scheduling, attendance tracking, and timesheet management
  • Compliance document management with digital signatures
  • Project administration, quoting, and invoicing tools
  • AI-powered features including estimation, phone handling, and intelligent notifications
  • Certification and qualification tracking

The Alpha Controls website provides information about our BMS contracting services, resources, and blog content for the building controls industry.

3. User accounts and responsibilities

To use certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activity that occurs under your account
  • Ensure that any data you enter about operatives or team members has been collected with appropriate consent

We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are being used fraudulently.

4. Acceptable use

You must not use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the rights of others, including intellectual property or privacy rights
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Scrape, crawl, or harvest data from the Service using automated means
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to compete with us or build a competing product
  • Resell, sublicense, or redistribute access to the Service without our written permission
  • Overload or interfere with the Service's infrastructure or performance

5. Intellectual property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Alpha Controls Ltd and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose during the term of your account.

Nothing in these terms transfers any intellectual property rights to you, except for the limited licence described above.

6. Data ownership

Your data belongs to you. All data you upload, create, or input into the Service (“Customer Data”) remains your property. We do not claim ownership of your Customer Data.

You grant us a limited licence to process, store, and display your Customer Data solely for the purpose of providing the Service to you. This licence terminates when you delete your data or close your account.

We may use anonymised, aggregated data derived from your use of the Service for analytical purposes, product improvement, and industry benchmarking. Such data will never identify you or your operatives.

7. Payment terms

The govnr.ai platform is currently available free of charge during the beta period. We reserve the right to introduce paid plans in the future, in which case:

  • We will provide at least 30 days' notice before any charges apply
  • Pricing will be clearly communicated before you are required to pay
  • Payments will be processed securely through Stripe
  • All prices will be stated exclusive of VAT unless otherwise indicated
  • Invoices are payable within 30 days of issue unless otherwise agreed

For Alpha Controls BMS contracting services, payment terms are agreed per project and detailed in the relevant quotation or contract.

8. Service availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service is provided on a “best efforts” basis. We do not offer a formal Service Level Agreement (SLA) at this time.

We may suspend access to the Service temporarily for:

  • Planned maintenance (we will aim to provide reasonable notice)
  • Emergency security patches or critical updates
  • Circumstances beyond our reasonable control

We are not liable for any loss or damage arising from Service downtime or interruptions.

9. Limitation of liability

To the fullest extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied
  • We do not warrant that the Service will be error-free, secure, or uninterrupted
  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) £100
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

10. Indemnification

You agree to indemnify and hold harmless Alpha Controls Ltd, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate the use of the Service at any time:

  • You may close your account at any time through the platform settings or by emailing us
  • We may suspend or terminate your account if you breach these terms, with or without notice depending on the severity of the breach

After termination

  • Your Customer Data will be available for export for 30 days following account closure
  • After the 30-day export period, your data will be permanently deleted from our active systems
  • Data subject to legal retention obligations (such as financial records) will be retained as required by law
  • All licences granted to you under these terms will immediately cease

12. Governing law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Dispute resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter informally through good-faith negotiation. Either party may initiate this process by sending a written notice describing the dispute to the other party.

If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal proceedings in the courts of England and Wales.

14. Changes to these terms

We may update these terms from time to time. When we make changes:

  • We will update the “Last updated” date at the top of this page
  • For material changes, we will notify you via email or through a prominent notice on the platform
  • Continued use of the Service after changes take effect constitutes acceptance of the revised terms
  • If you disagree with the changes, you may close your account and export your data
